MDI's LearnSafe(R) Initiative Completes and Delivers Security Risk Audits for Two Additional South TX Districts

Company Sets Annual Meeting Date

SAN ANTONIO, Texas – August 28, 2008 - MDI, Inc. (NASDAQ: MDII), today announced that its LearnSafe® Initiative professional services team has received orders for, completed and delivered risk audits for Ben Bolt – Palito Blanco ISD and Goliad ISD in compliance with the safety and security audit components of Texas State Senate Bill 11.
The Texas Legislature established Senate Bill 11 (TEC 37.108), which is an executive mandate that requires all schools in the state of Texas to conduct comprehensive school safety audits before the last day of this month (August 31, 2008). The mandate requires school districts to do the following using current budgets:

Implement a security audit as required by Subsection (b) of the legislation.
Conduct a comprehensive security audit of the district's facilities. To the extent possible, a district shall follow security audit procedures developed by the Texas School Safety Center or a comparable public or private entity. This must be accomplished by August 31, 2008, and is required every three years thereafter.
A school district must report the results of the security audit conducted under Subsection (b) to the district's board of trustees and electronically to the Texas School Safety Center to identify safety and security practices, policies and needs on each school campus within a district.

After a risk assessment or audit has been performed, the LearnSafe Team will assist safety administrators with a phased risk mitigation plan, structured around the current and future growth needs of the district. LearnSafe utilizes people, processes and technology such as unified access control and video surveillance to assist in the remediation of known (post-audit) security vulnerabilities and district-wide risk.

The Company announces that the date of its annual meeting of shareholders is rescheduled for November 13, 2008. Shareholders of record as of September 25, 2008 will be entitled to vote at the meeting.
